Terms of Service

By creating an account or using Spilix, you agree to the terms below. Please read carefully.

1. Agreement and Electronic Acceptance

These Terms of Service ("Terms") form a binding agreement between you (the "Artist" or "Label", as applicable) and HyperPulse International Company Limited (Co., Ltd.), a company incorporated in Vietnam and operating the Spilix service ("Spilix", "we"). Together with the Privacy Policy, the Cookie Policy and the Refund Policy, they govern your use of Spilix.

You accept these Terms by ticking the acceptance box and creating a Spilix account, or, for a later version of the Terms, by accepting that version in your dashboard (see Section 15). That action is your electronic signature. You agree that an agreement formed this way — as an electronic data message — is valid, binding and enforceable to the same extent as a contract signed by hand, in accordance with the Vietnamese Law on Electronic Transactions and the Civil Code, and that neither party may challenge its validity solely because it was concluded electronically.

When you accept, Spilix automatically generates a Distribution Services Agreement document (the "Agreement Record") reproducing the version of these Terms you accepted, together with your account details, the acceptance timestamp, the IP address and device used, and a cryptographic fingerprint (hash) of the Terms text. Spilix retains the Agreement Record on file and will provide you with a copy on request. Spilix may later apply its digital signature or seal to the Agreement Record for record-keeping and regulatory purposes; the agreement takes effect at the moment of your acceptance, and the absence or later application of Spilix's signature does not affect its validity.

If you accept on behalf of a company, label or any other legal entity, you represent that you are authorised to bind that entity, and "you" then refers to that entity. You also agree that Spilix's system logs and the Agreement Record are admissible as evidence of the agreement and its terms.

If you do not agree to any part of these Terms, you must not create an account or use the service.

2. Account Registration

You must be at least 18 years old to register for and use Spilix. By creating an account you confirm that you are at least 18. Spilix may ask for proof of age and identity where needed, and may close the account under Section 11 if it finds that a user is under age.

You agree that the registration information (email, name, country) is accurate, complete, and up-to-date. You are responsible for keeping your password secure and for all activity on your account.

Each individual may maintain only one Artist account and may use the free trial only once. Labels may register separate Label accounts to manage multiple artists. Additional accounts created to repeat a trial, evade a suspension or get around plan limits will be closed together with the original account.

By creating an account and accepting these Terms, you agree that Spilix may send emails about Spilix products, features, tips and offers ("marketing emails") to your account email. You can stop receiving them at any time through the unsubscribe link in every such email or in your account settings; opting out does not affect the service. Emails about your account, releases, payments, security and legal notices (including notice of changes to these Terms under Section 15) are part of the service and continue to be sent.

3. Plans, Pricing and Billing

Spilix offers annual paid plans (Artist Starter, Artist Pro, Label Starter, Label Pro, Label Enterprise). Prices and features are published on the Pricing page and may change with 30 days' prior notice.

Pricing policy: all prices are publicly listed in US dollars (USD) on the Pricing page and shown again in your dashboard before you confirm a purchase. Listed prices exclude value-added tax, sales tax or similar taxes applicable in your country; any such tax is calculated by Dodo Payments — the Merchant of Record processing the transaction — and displayed in full on the checkout page before you confirm, and the total you confirm is the final amount charged. The 10% distribution fee on royalties and the commission for each add-on are set out in Sections 6 and 7. Beyond the fees published, Spilix charges no hidden fees. When prices change, the new price applies only to the next billing period after the 30-day notice; a period already paid for is not adjusted.

Payment policy: plan fees are charged upfront for the full 12-month period by international credit/debit card or a local payment method supported by Dodo Payments in your country; Spilix does not accept cash or direct bank transfers. Card details are entered directly on Dodo Payments' secure checkout page and are never stored on Spilix systems. Subscriptions renew automatically at the end of each period at the plan's then-current price unless you turn off auto-renewal before the renewal date (Section 8). If a renewal payment fails, the account is marked past due and Dodo Payments retries the charge; if it still fails, the subscription expires and your catalog is handled as described in Section 8. Every successful payment comes with an electronic receipt from Dodo Payments and an electronic invoice issued by Spilix under Vietnamese law, sent to your account email and available on the Billing page.

Because Spilix is a digital service delivered entirely online, there are no shipping, delivery or handling charges, and no costs other than the plan price, applicable tax (if any) and the fees stated above. Spilix does not operate a points, rewards or cash-back programme; any discount code applies only to the billing period stated when the code is issued, has no cash value and cannot be transferred. Where a refund is due — a billing error under the Refund Policy, or a pro-rata refund under Section 11 — it is returned to the original payment method through Dodo Payments at no cost to you; Spilix does not refund in cash or to a different payment method.

7-day free trials do not require a credit card. During the trial you can explore the dashboard and prepare releases as drafts; submitting a release for distribution requires a paid plan. After 7 days, you must upgrade to a paid plan to distribute; otherwise, your account remains accessible but cannot submit releases.

You may upgrade to a higher-priced plan at any time from your dashboard. An upgrade is applied to your existing subscription and takes effect immediately: you are charged the annual price of the new plan minus a credit for the unused portion of your current plan (calculated pro rata by Dodo Payments at the time of the upgrade), a new 12-month billing period starts on the date of the upgrade, and the subscription then renews at the new plan's price. Any discount or promotional code applied to your previous plan does not carry over to the upgraded plan. Upgrade charges are final and, like all fees, non-refundable.

Downgrading to a lower-priced plan is not available, whether during or at the end of a billing period. The only alternative to keeping your current plan is to cancel your subscription as described in Section 8.

4. Your Content

You retain all intellectual property rights in the content you upload to Spilix — including master recordings, compositions, cover art, lyrics, metadata, and related information ("Content").

You warrant that you own or have the right to grant distribution rights for all Content you upload, and that distribution does not infringe any third-party copyright, trademark, or other rights.

For cover songs, you must subscribe to the Cover Song License add-on or obtain your own mechanical license before release. Spilix is not responsible if you release a cover without valid licensing.

Automated copyright check: to protect rights holders and meet DSP requirements, Spilix may generate an audio fingerprint of every recording you upload and match it against the music recognition database of ACRCloud and similar tools, in order to detect content that matches a recording already registered by someone else. By uploading Content, you permit Spilix and its audio recognition provider to process the recording for this purpose. If a match is found, the release may be held; Spilix notifies you in the dashboard and by email, and you may provide proof of ownership or a licence under the process in Section 19. Automated matching results are an aid only and do not replace your warranty in the paragraph above.

AI-generated content: you may distribute Content created with AI tools provided that you hold full rights in all of that Content under the terms of the tool you used; the Content does not imitate the voice, name, stage name or likeness of a real artist without that person's written permission; and you declare it truthfully when Spilix or a DSP asks. Many DSPs have their own policies on AI content; a DSP rejecting, labelling, deprioritising or removing such content is outside Spilix's control and is not grounds for a refund.

Any third-party claim arising from your Content is your responsibility, and you indemnify Spilix for it under Section 20.

5. License to Spilix

By uploading Content, you grant Spilix a non-exclusive, royalty-free, sublicensable license to DSPs and partners, for the duration of your active account, to: (a) reproduce, encode, format and convert Content per each DSP's spec; (b) distribute Content to selected stores; (c) display metadata and cover art on Spilix and the stores; (d) create excerpts, previews and public smart link / pre-save pages for your releases at spilix.co; (e) generate audio fingerprints for copyright checks (Section 4) and, if you buy Content ID, register the recordings with the relevant platforms.

This licence survives the closure of your account to the extent needed to: (a) let DSPs complete takedown of the Content on their own schedules; (b) let Spilix collect, reconcile and pay out royalties earned before takedown, including late DSP reports; (c) keep Content ID claims and publishing registrations you paid for in place until the end of the paid term, unless you ask for early termination; (d) retain copies for legal, accounting and dispute-resolution obligations.

Spilix does not own your Content, does not claim your royalties, and does not sell your Content to third parties.

6. Royalties and Payouts

For each reporting period, the royalties Spilix collects from DSPs on your behalf are converted to USD at the exchange rate applied by the DSP or Spilix's bank at the time Spilix actually receives the funds (Spilix adds no margin on conversion), reduced by any withholding or other taxes deducted at source, and then reduced by a 10% Spilix distribution fee. That fee covers delivering your catalog to the stores and running the reporting and payout operation. The remaining amount is credited to your Spilix Wallet in full — Spilix takes no further percentage and no per-release charge.

Example: if $100 is collected for your catalog in a period and no withholding tax applies, the 10% distribution fee is $10 and $90 is credited to your Spilix Wallet.

You may withdraw via SWIFT bank transfer once the available balance in your Spilix Wallet reaches $100. Withdrawal requests below that minimum cannot be submitted; the balance stays in your Wallet and carries over to the following month. Spilix processes a valid withdrawal request and instructs the SWIFT transfer within 30 business days of receiving it; the time the banks then take to credit your account is outside Spilix's control. Payouts are sent to the bank account you register in your dashboard; bank and transfer fees, including any intermediary bank charges, are deducted from the payout amount, and you are responsible for the accuracy of the bank details you provide. A balance below the minimum remains yours and stays in your Wallet indefinitely, including after your subscription expires or your account is closed; you can withdraw it once the balance reaches the minimum (for example after resubscribing, or when late DSP reports are credited) — if the account is closed, contact support@spilix.co. Spilix does not pay out below the minimum and does not pay interest on Wallet balances.

Royalties are credited based on each DSP's reports and may be adjusted by the DSP later; Spilix passes on any such adjustment under Section 21. You are responsible for tax on your royalty income under Section 22. Royalty statements are available in your dashboard; if you believe a credited amount is wrong, notify support@spilix.co within 12 months of the credit — after that period the statement is deemed accepted, without prejudice to adjustments Spilix passes on under Section 21.

For the Content ID add-on, revenue collected through Content ID claims on your behalf is not subject to the 10% distribution fee above; instead, Spilix takes a 20% commission on that revenue, and the remaining 80% is credited to your Spilix Wallet with your monthly payout. For the Publishing Admin add-on, Spilix takes a 15% commission on collected publishing royalties. For Cash Advance, specific recoup terms are agreed separately at the time of offer.

7. Add-on Services

Add-ons (Content ID, Cover Song License, Pre-save Unlimited, Fast Release, Publishing Admin) are optional services billed separately. Add-on fees are non-refundable once activated, except in the cases set out in Section 8.

Content ID is sold as a single bundle covering YouTube, TikTok, Meta, and SoundCloud together, priced per release per year as listed on the Pricing page — activated per release, not sold per individual platform. Pre-save Unlimited and Publishing Admin are account-wide, billed annually. Cover Song License is billed per track and runs for 12 months. Annual add-ons renew automatically at the end of each period under Section 3 unless you turn off renewal for that add-on in the dashboard (Services, on the add-on's detail page) before the renewal date. Fast Release is billed per release and non-refundable once the release goes live.

Content ID is only for recordings in which you hold exclusive worldwide rights. You may not activate Content ID for a recording that contains beats, samples, library sounds or any other element that is licensed non-exclusively, is in the public domain, or that someone else also has the right to distribute. False claims against third parties are a breach of these Terms; any claims, costs and platform measures that result are yours to bear under Section 20. Spilix may release claims and deactivate Content ID for an infringing release without refund.

Add-ons launched later: Spilix may add new add-ons or optional services over time (for example Dolby Atmos distribution, music video distribution, or other formats, distribution channels and services) without amending these Terms. For each such service, the price, billing unit (per release, per account or per period), duration, scope, technical requirements and conditions are published on the Pricing page, in the Help Center (spilix.co/help) or on the purchase screen in the dashboard at the time you buy, and form part of these Terms. Unless the description of that service says otherwise, every add-on — existing or launched later — follows the general rules of these Terms: charged upfront through Dodo Payments (Section 3), activated as soon as payment succeeds (Section 17), non-refundable (Section 8 and the Refund Policy), available only while your subscription is active, and subject to the support and complaint process in Section 19. An add-on you have already bought continues to be provided until the end of the paid term even if Spilix stops selling it to new customers.

8. Cancellation and Refunds

Your plan renews automatically at the end of each 12-month period by default. You can cancel at any time from the dashboard (Billing page): cancelling does not stop the service immediately — your plan stays active until the end of the paid period and is simply not charged for the next renewal.

All fees are non-refundable. Subscription fees, upgrade charges, renewal charges and add-on fees are not refunded in whole or in part, including for unused time after cancellation, except to correct a billing error, in the pro-rata case described in Section 11 (Spilix discontinues the service or terminates your account through no fault of yours), or where mandatory law requires otherwise. See the Refund Policy for details.

Your releases are distributed only while your subscription is active. When your paid period ends without renewal, or your account is closed, Spilix submits takedown requests for your entire catalog to all DSPs and your releases are removed from the stores (timing varies by store). Royalties earned before takedown remain yours and are paid out as normal. If you resubscribe later, you can redeliver your releases.

9. Prohibited Conduct

You may not: (a) upload Content that infringes copyright, trademark, or third-party rights; (b) upload malicious, fraudulent, violent, hateful, or unlawful content; (c) use stream farming, bots, pay-per-stream playlists, or any method to artificially inflate streams/royalties — including when carried out by a third party you hired; (d) reverse-engineer, scrape, or disrupt the Spilix service; (e) impersonate an artist, label or other person, or use a name, stage name or imagery likely to be confused with a real artist; (f) provide misleading metadata — fake featured artists, wrong performers, writers, genre, language or release year, or deliberately splitting or merging releases to get around plan limits; (g) upload recordings containing unlicensed samples, beats, vocals or other elements; (h) distribute the same recording to the same store through Spilix and another distributor at the same time, or distribute a recording whose rights are in dispute; (i) create multiple accounts to repeat a trial or evade a suspension (Section 2).

Violations may result in immediate takedown, account suspension, royalties withheld under Sections 11 and 21, and legal action. DSPs may impose fines, deduct royalties or remove a distributor's entire catalog for fake streams and content fraud; any fines, clawbacks and costs Spilix incurs because of your conduct are handled under Sections 20 and 21.

10. Spilix Intellectual Property

All software, UI, branding, logos, code, aggregated analytics data, and documentation belong to HyperPulse International Company Limited and are protected by intellectual property law.

You may not copy, modify, distribute, or create derivative works from any part of Spilix without written consent.

11. Termination

Spilix reserves the right to suspend or terminate your account if you violate the Terms, if fraud is detected, or as required by law.

When an account is terminated for cause, Spilix applies a strict measure: all unpaid royalties and the account's Spilix Wallet balance are withheld, to the extent permitted by law, to set off damages to Spilix and third parties, DSP fines and clawbacks, investigation and handling costs, and harm to Spilix's standing with its distribution partners (Section 21). Royalties generated by artificial streams or infringing content are never paid out. For terminations not due to violation, royalties are paid in full.

When termination takes effect: if you cancel under Section 8, the contract ends at the end of the paid period; if Spilix terminates for cause or on the order of a competent authority, the contract ends when the notice is sent to your account email, and fees already paid are not refunded. If Spilix discontinues the service or terminates your account through no fault of yours, Spilix gives at least 30 days' notice so you can withdraw royalties and save your data; in this case Spilix refunds, through Dodo Payments to your original payment method, the unused part of your plan fee and of any annual add-on fee (Content ID, Pre-save Unlimited, Publishing Admin), calculated pro rata from the termination date; Fast Release already used and Cover Song License (the licence has already been obtained from the licensing body for the whole period) are not refunded. Every termination notice states the reason; you may respond or complain under Section 19 within 14 days of receiving it, and Spilix replies within the timelines in Section 19. After termination, your catalog is handled under Section 8 and your personal data under the Privacy Policy.

12. Disclaimer of Warranties

The Spilix service is provided "as-is" and "as-available" without express or implied warranties of any kind. Spilix does not warrant that the service will be uninterrupted, error-free, or meet your specific requirements.

Spilix does not guarantee any specific streams, royalty revenue, or marketing outcomes from music distribution.

13. Limitation of Liability

To the maximum extent permitted by law, Spilix and its affiliates are not liable for any indirect, incidental, special, or consequential damages arising from use of the service.

Spilix's total liability for any claim shall not exceed the total fees you paid to Spilix in the preceding 12 months. This cap does not apply to Spilix's obligation to pay out royalties already credited to your Spilix Wallet.

Nothing in this Section excludes or limits liability that cannot be excluded under applicable law, including liability for wilful misconduct.

14. Governing Law and Disputes

These Terms are governed by the laws of Vietnam, where HyperPulse International Company Limited (Co., Ltd.), the company operating Spilix, is incorporated. Disputes will be resolved first through good-faith negotiation; failing which, by arbitration at the Vietnam International Arbitration Centre (VIAC) in Ho Chi Minh City, conducted in English. The arbitral award is final and binding on both parties. Nothing in this Section deprives you of the protection of mandatory consumer-protection rules of the country where you reside, or of the right to bring a claim before the courts of that country where those rules grant it; and either party may seek urgent injunctive relief before a competent court to protect intellectual property or confidential information.

These Terms are drafted in English. Translations are provided for convenience only; if there is any inconsistency, the English version prevails.

15. Changes to Terms

Spilix may update these Terms over time. We will notify you by email (to the address on your account) and by an in-app notification at least 30 days before an updated version takes effect, with a summary of what changed, and — if you have not accepted it by then — again by email on the day it takes effect. Where a change is required by law, by a court or regulatory order, or to address a security or legal risk, the notice period may be shorter; the notice will say so. Updates to the Privacy Policy, Cookie Policy and Refund Policy are announced through the same channels, on the terms stated in each of those policies.

Each version of the Terms carries a version date and an effective date. When a new version is published, you are asked to accept it in your dashboard. Your acceptance takes effect immediately, and a new Agreement Record is generated that supersedes and replaces the previous one from that moment. Earlier Agreement Records remain on file for reference only.

Until the new version takes effect, you are reminded at each sign-in and may continue using the dashboard under the version you last accepted. From the effective date, if you have not accepted the new version you cannot use the dashboard until you do: at sign-in you are asked to accept it or sign out. The version you last accepted keeps governing your catalog and royalties until the end of the paid period of your existing plan and add-ons; your catalog stays in the stores and royalties keep being credited. If you do not wish to accept, you can ask Spilix at support@spilix.co to turn off renewal of your plan and of each add-on, pay out your Wallet balance under Section 6, turn off marketing emails, provide a copy of your data, or close your account. No other action of yours counts as acceptance.

Spilix does not charge a plan or add-on renewal while you have not accepted the version in force: if a renewal date arrives and you have not accepted, that plan or add-on expires and your catalog is handled under Section 8. You can accept at any time to resume full use and renewals.

16. Geographic Availability

Spilix currently does not offer accounts, distribution, or payment services to individuals or entities located in Vietnam, or to payment instruments issued in Vietnam. This restriction may be updated at our discretion as our footprint evolves.

By registering or making a payment, you confirm you are not located in, and are not using a payment method issued in, a restricted territory. Using a VPN, proxy, false billing address, or any other method to misrepresent your location in order to access a restricted service is a material breach of these Terms.

Spilix is not liable for any legal or financial consequences you incur, in Vietnam or elsewhere, from circumventing this restriction. Where such circumvention is detected, Spilix may suspend or terminate the account and apply the strict measure in Section 11 — withholding all royalties and the Spilix Wallet balance of the account to the extent permitted by law — in addition to any other remedy available under these Terms.

17. How the Service Is Delivered

Spilix is delivered entirely online through the spilix.co website and dashboard; no physical goods are shipped. Once a payment succeeds, your plan and any add-ons are activated on your account immediately.

To distribute a release, you upload the recordings, cover art and metadata in the dashboard, choose the stores and a release date (at least 14 days from submission unless you use Fast Release). Spilix checks the release against each DSP's technical and content standards and then delivers it to the selected stores — on average within 24 hours of approval. When a release actually appears on each store is determined by that store and is outside Spilix's control. The status of each step (processing, approved, delivered, live, or rejected with a reason) is shown in the dashboard and sent by email.

Spilix may reject or request changes to a release that does not meet audio, artwork or metadata requirements, or that breaches Sections 4 or 9; in that case you are told why and can fix and resubmit at no extra charge. Royalties are reconciled and credited to your Spilix Wallet on a monthly cycle as Spilix receives reports from the DSPs (on each DSP's own reporting schedule), and paid out as described in Section 6.

Service duration: each plan runs for 12 months from the date of payment (or upgrade) and renews under Section 3. Content ID runs for 12 months per activated release; Pre-save Unlimited runs for 12 months across the whole account; Fast Release applies to the specific release it is bought for; Cover Song License runs for 12 months per activated track and renews under Section 7; Publishing Admin continues for as long as you keep the service under Section 7. Compatible devices: the service is used through a current web browser (Chrome, Safari, Firefox or Edge) on a computer, tablet or phone with an internet connection; no software installation is needed. You may sign in on any number of your own devices, but the account is personal to you and may not be shared. File requirements: audio in WAV or FLAC at 44.1 kHz or higher; square JPEG/PNG cover art of at least 3000×3000 px; detailed requirements are shown in the dashboard and in the Help Center (spilix.co/help). A full description of the features of each plan is published on the Pricing page.

18. Conditions and Restrictions on Providing the Service

Spilix provides the service only when all of the following are met: (a) you are at least 18 years old (Section 2); (b) you own or hold all necessary rights in every piece of Content you upload, including a valid mechanical licence for cover songs (Section 4); (c) your account has an active subscription (Sections 3 and 8) — during the free trial only the dashboard and draft releases are available; (d) you are not based in, and do not use a payment method issued in, a restricted region under Section 16; (e) the account, payment and banking details you provide are accurate and, where requested, verified.

Spilix does not distribute content that breaches Section 9 (copyright infringement, unlawful content, stream farming and other fraud), content that fails a DSP's technical standards, or content that a DSP declines under its own policies. Whether a release is ultimately accepted or shown on a store is decided by each DSP; Spilix does not guarantee that every release will be accepted by every store. Certain services (Content ID, Publishing Admin, Cash Advance, YouTube Official Artist Channel) are provided only where you meet the specific eligibility requirements of that service and of the partner platform, as stated on the relevant service page.

Spilix may temporarily suspend the service for system maintenance, at the request of a competent authority, or where signs of fraud are detected, and may suspend or terminate accounts under Section 11. The service is not intended for consumers purchasing for purposes other than distributing and commercialising music.

Hours of service: the website and dashboard are available 24/7. Planned maintenance is announced in advance in the dashboard and normally carried out outside peak hours; unplanned outages are resolved as quickly as possible and do not affect releases or royalties already recorded. Email support is handled on business days (Monday to Friday, Vietnam time, excluding public holidays). Quantity limits: each account may hold only one active subscription at a time and each payment covers one 12-month period; each individual may hold only one Artist account (Section 2); the number of artists, releases and team members included in each plan is stated on the Pricing page; Fast Release is bought separately for each release and Cover Song License for each track, with no quantity limit.

19. Handling Feedback, Requests and Complaints

You can send feedback, requests or complaints about the service through the following channels: support@spilix.co for general account, release and distribution matters; billing@spilix.co for payments, invoices and billing errors; privacy@spilix.co for personal-data requests; legal@spilix.co for copyright complaints, takedown requests and other legal matters. Please write from your registered account email and include enough detail to verify the matter (account name, release ID, transaction reference, a description of the issue and any evidence).

Process: Spilix acknowledges receipt within 2 business days; investigates, contacts you if more information is needed, and notifies you of the outcome within 15 business days of receiving complete information. For complex cases requiring coordination with a DSP, payment provider or other third party, the timeline may be extended but not beyond 30 business days, and you are kept informed of progress. Copyright complaints are prioritised: the disputed content may be temporarily taken down while it is verified, and the party complained about is notified and given the opportunity to respond.

If you disagree with the outcome, you can request a review by replying to the outcome email; the request is reviewed by Spilix management within 10 business days. If no agreement is reached, the dispute is resolved under Section 14. Nothing in this section limits your right to complain to a competent state authority, including the Vietnamese Ministry of Industry and Trade (for e-commerce matters) and the data-protection authorities named in the Privacy Policy.

Support tools and expected timelines by type of issue: in addition to the email channels above, the Help Center at spilix.co/help provides self-service guidance, and the status of releases, transactions and payouts is updated directly in the dashboard and in the in-app Inbox. Expected resolution times, counted from receipt of complete information: payment, invoice and billing-error issues — 5 business days (refunds are processed under the Refund Policy); release, distribution and payout issues — 10 business days; copyright complaints and takedown requests — initial verification within 3 business days and a decision within 15 business days; personal-data requests — the timelines in the Privacy Policy; all other matters — 15 business days.

20. Indemnification

You agree to indemnify, defend and hold harmless Spilix, HyperPulse International Company Limited, its affiliates, staff and partners (including DSPs and payment providers) from and against all claims, demands, losses, liabilities, fines, costs and reasonable legal fees brought by a third party arising out of or relating to: (a) the Content you upload or distribute, including allegations of infringement of copyright, related rights, trademarks, publicity or privacy rights, or missing licences for covers, samples or beats; (b) your breach of these Terms, in particular the commitments in Sections 4, 7 and 9; (c) disputes between you and artists, writers, collaborators, labels or other distributors; (d) the conduct of sub-users or anyone else using your account; (e) your breach of law or of a DSP's policies.

Spilix will notify you of the claim and may itself respond, negotiate or take down the content concerned to limit the damage. You may not settle any claim on Spilix's behalf without Spilix's prior written consent. The obligations in this Section survive the closure of your account.

21. Royalty Adjustments, Clawbacks and Set-off

Royalties are credited based on DSP reports and may be adjusted by the DSP later — for corrections to reported figures, streams found to be artificial or fraudulent, refunds to listeners, copyright claims, or changes in tax or exchange rates. Spilix passes every such adjustment through to your account: the adjusted amount, fines a DSP imposes on Spilix because of your Content or conduct (for example a per-track penalty for flagged fake streams), chargeback fees, and any amount Spilix pays on your behalf under Section 20 are deducted from your Spilix Wallet, including from the royalties of other releases and periods.

If the balance is insufficient, the Wallet goes negative: all royalties credited afterwards are applied to the shortfall first, no payout is made until the balance is positive again, and Spilix may require you to pay the remaining shortfall within 30 days of notice. Where there are signs of fraud, Spilix may hold the royalties of the releases concerned for up to 180 days pending the DSP's conclusion before paying out or setting off; where the account is terminated for cause, the measure in Section 11 applies. Spilix notifies you by email and in the dashboard each time a set-off is made, with the reason and the amount.

Chargebacks: if you dispute a payment with your bank or card issuer instead of contacting billing@spilix.co under the Refund Policy, Spilix may suspend the account and take down the catalog until the dispute is resolved. If the chargeback is unfounded, the chargeback fee and the amount clawed back are deducted under the paragraph above, and Spilix may refuse to provide the service to you in future.

22. Taxes

You are solely responsible for declaring and paying all taxes that apply to royalties and other amounts you receive from Spilix in your country of residence; Spilix does not give tax advice. Where the law or a DSP requires it, Spilix may ask you for a tax identification number, declarations or proof of tax residence (for example a W-8BEN / W-8BEN-E for US-sourced income) and may hold payouts until it is received. Withholding taxes that a DSP or Spilix is required to deduct are deducted before crediting and are not refunded by Spilix. Taxes on plan and add-on fees are handled under Section 3.

23. Label Accounts, Artists and Sub-users

If you use a Label account or distribute other artists' content, you represent that you have a valid written agreement with each artist, writer and contributor that allows you to distribute their Content, collect royalties and provide their personal data to Spilix (Privacy Policy, Section 1). Spilix has a contractual relationship only with the account owner: all royalties are credited to the account's Wallet and paid to the account owner. Splitting and paying your artists and collaborators is entirely your responsibility; Spilix does not act as an intermediary, does not hold money on their behalf and does not take part in disputes between you and them, except where required by a competent authority.

Sub-users: the account owner is fully responsible for the conduct of every sub-user they authorise, as if it were their own, including conduct that took place before access was revoked. The account owner must revoke access as soon as a team member leaves and may not share login credentials.

If an artist in your catalog asks Spilix to remove content and provides evidence of their rights, Spilix treats it as a copyright complaint under Section 19 and may take the content down while you and the artist resolve the matter between yourselves.

24. General Provisions

Force majeure: Spilix is not liable for delay or failure to perform caused by events beyond its reasonable control — natural disasters, epidemics, war, strikes, outages at DSPs, infrastructure providers, payment providers or banks, power or Internet failures, changes in law or orders of a competent authority — for as long as the event lasts.

Assignment: you may not transfer your account, or your rights and obligations under these Terms, to anyone else without Spilix's written consent. Spilix may assign these Terms to an affiliate or a successor in a merger, acquisition or sale of assets, and will notify you.

Notices: Spilix sends notices to the email registered on your account and/or displays them in the dashboard; a notice is deemed received when the email is sent to that address. You are responsible for keeping your account email working and up to date. Notices to Spilix use the addresses in Section 19.

Entire agreement and severability: these Terms, together with the policies they refer to, are the entire agreement between you and Spilix about the service and replace all earlier communications. If a provision is held invalid or unenforceable by a competent authority, it is applied to the fullest extent permitted and the remaining provisions stay in force. Spilix's failure or delay in exercising a right is not a waiver of that right.

Survival: Sections 4, 5 (to the extent stated there), 6, 10, 11, 12, 13, 14, 20, 21, 22, 23 and this Section survive the closure of your account or the termination of these Terms.
